Add Capital, MD Pictures Issues 1.9 Billion New Shares

Jakarta, CNBC Indonesia – PT MD Pictures Tbk (FILM), a film and video issuer, plans to increase its working capital to develop business activities.

The Company plans to carry out Capital Increase with Pre-emptive Rights (PMHMETD) as referred to in Regulation No. 32/POJK.04/2015 yo No. 14/POJK.04/2019.

The number of shares planned to be issued is a maximum of 1,902,243,400 shares with a nominal value of IDR 100 per share which will be offered through PMHMETD or 20% of the Company’s current issued and fully paid capital, with a price to be determined and announced later in the Prospectus. Determination of the amount and exercise price, will take into account the latest conditions of matters including macroeconomic conditions, capital markets, fundamental conditions and the Company’s performance, the volatility of the Company’s share price, and input from Shareholders.

“The application for the implementation of PMHMETD registration is made after obtaining approval from the General Meeting of Shareholders (GMS). The GMS is planned to be held on May 25 2022. Thus the implementation of PMHMETD is estimated no later than 12 months after the date of approval of the GMS,” explained MD Pictures in the information disclosure, quoted Monday (18/4/2022).

The additional capital fund is planned to be used to increase business. Moreover, the Company has moved aggressively beyond the big screen to capture a number of revenue streams, including Direct to OTT Content, Original OTT Series, and Library and Current Movie Licensing and has secured multi-year licensing contracts with all major online platforms, including Disney + Hotstar, Viu, WeTV, Netflix, iFlix, Vidio.com, MOX, MAXstream and iTunes.

“Cash funds obtained by the Company in the PMHMETD will be used to develop the Company’s business, so that it is hoped that it will contribute positively to the Company’s financial performance. Strengthening the capital structure is also expected to support the Company going forward, which will ultimately create value for shareholders and stakeholders, ” said the disclosure of information.

As of March 31, 2022, PT MD Global Investment owns 50.50% of FILM shares, Manoj Punjabi as Main Director with 22.23%, Morgan Stanley and Co Internasional 15.10%, Shania Manoj Punjabi as Commissioner Main is 0.2%, and people with ownership of less than 5% are 11.97%.

Shareholders who do not exercise their HMETD will be subject to a maximum dilution of ownership of 16.67% of the company’s shareholding percentage.
